什么是受控公司？(a controlled company?)
受控公司是指大多数有表决权的股票由个人或其他公司持有的公司。这种持股水平实际上使多数股持有人能够控制任何股东发行的投票结果。然而，确切的控制程度取决于股份购买协议中包含的参与条款和公司章程。
今天有许多受控公司的例子。在某些情况下，受控公司的结构为控股公司，持有控股权益是为了逃避公司袭击者的收购企图。在其他情况下，公司创始人可以选择将公司不到一半的权益出售给其他投资者，同时通过单独的公司结构保持对多数股权的控制。
在所持有的有表决权股份总数的范围内，将有其他因素决定多数股东能够施加多少公司控制权。其中一个因素与需要多少比例的有表决权股份才能构成足够的支持，以确认或否认向股东提出的某一特定问题有关。在章程要求简单多数表决的情况下，拥有半数以上表决权股份的股东显然能够决定结果。然而，如果章程规定确认或否认某一特定发行需要三分之二多数，且多数股东仅持有略多于一半的有表决权股份，则他或她通常需要其他股东的额外支持才能控制结果。同时，持有较少股份的股东肯定需要大股东的支持才能实现他们的目标。
在公众看来，受控公司往往与任何其他公司一样。从零售业到通信业，几乎每一种行业类型都可以找到受控公司的例子。作为一种持续可行的商业模式，受控公司有着悠久的历史，在可预见的未来很可能仍然可行。
